Taft is looking for a team-oriented Associate to join our Business group specializing in Venture Capital in the Chicago office. Taft is seeking a highly motivated associate with 3–4 years of experience in venture capital work to join our growing corporate practice. The ideal candidate will have experience drafting, reviewing, and negotiating venture financing documents, including term sheets, stock purchase agreements, and convertible instruments (such as SAFEs and Convertible Notes), with familiarity with standard NVCA documents and market precedence. The associate will advise early stage companies and investors on corporate governance, securities compliance, and general corporate matters, and for company representation, oversee equity compensation programs, including option grants, received stock units (RSUs), and employee stock purchase plans (ESPPs). Responsibilities also include supporting due diligence for new investments and follow-on financings, working with tools such as Carta to manage cap tables, equity issuances, and stockholder communications, and collaborating with senior partners, investment team, and company executives. The associate will stay current on venture capital market trends, corporate law developments, and best practices for startup and growth-stage companies and their investors. Taft offers competitive compensation and a comprehensive benefit package, including medical, dental, vision, life, long term disability, flexible spending, and 401K. The salary range for this position is $225,000/yr. – $255,000/yr. Actual compensation offer to candidate may vary from posted information based on work experience, education, and/or skill level.
